1. Acceptance of Terms

These Terms of Service ("Terms") form a binding agreement between you and Merit Digital Advisory ("Merit Digital Advisory," "we," "us," or "our") governing your access to and use of our website, research publications, live dashboards, and advisory services (collectively, the "Services"). By accessing our website, creating an account, or otherwise using the Services, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, in which case "you" refers to that entity. If you do not have such authority, or if you do not agree with these Terms, you may not use the Services.

If you are engaging Merit Digital Advisory under a paid plan or a custom engagement, your use of the Services is also governed by our Master Service Agreement and any applicable order form, which take precedence over these Terms to the extent of any conflict regarding that engagement.

2. Eligibility

The Services are intended for businesses and professionals, including trading firms, family offices, asset managers, corporate treasuries, and fintech companies. By using the Services, you represent that you are at least 18 years old, are using the Services in a professional or business capacity, and are legally capable of entering into a binding contract in your jurisdiction.

We may, at our discretion, decline to provide the Services to any individual or entity, or restrict access to certain features, without obligation to provide a reason.

3. Description of Services

Merit Digital Advisory provides independent market research, structured diligence tools, live dashboards, and advisory consultations across crypto, forex, equities, and commodities. The specific features, reports, and level of access available to you depend on your subscription tier or engagement, as described on our Pricing page or in your order form.

We continually develop and refine the Services, and we may add, modify, or discontinue features, reports, or dashboard functionality at any time. We will make reasonable efforts to notify active clients of material changes that affect their engagement.

4. Accounts & Access

Certain parts of the Services, including our dashboard, require you to register for an account. You agree to provide accurate, current, and complete information during registration and to keep that information up to date.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use of your account or any other breach of security. Merit Digital Advisory is not liable for any loss or damage arising from your failure to safeguard your credentials.

5. Fees & Payment

Access to paid tiers of the Services requires payment of the fees set out on our Pricing page or in your order form. Unless otherwise agreed in writing, fees are billed in advance on an annual or engagement-specific basis and are non-refundable except where required by law.

We reserve the right to change our fees for future billing periods, with advance notice provided to active clients. Continued use of the Services after a fee change takes effect constitutes acceptance of the new fees. Fees are exclusive of any applicable taxes, which you are responsible for paying.

If payment is not received by the applicable due date, we may suspend or terminate your access to the Services until payment is made, without prejudice to any other rights or remedies available to us.

6. Acceptable Use

When using the Services, you agree not to:

  • Reproduce, resell, sublicense, or redistribute our research, reports, or dashboard content to any third party without our prior written consent;
  • Use automated means (including bots, scrapers, or crawlers) to access or extract data from the Services, except where we've expressly permitted it;
  • Reverse engineer, decompile, or attempt to derive the source code or underlying methodology of our dashboard or research tools;
  • Use the Services for any unlawful purpose or in violation of any applicable securities, financial services, or data protection laws;
  • Misrepresent your identity, impersonate any person or entity, or provide false information when registering for an account;
  • Interfere with or disrupt the integrity or performance of the Services, including through the introduction of malicious code.

We reserve the right to suspend or terminate access for any account found to be in violation of this section.

7. No Investment Advice

Merit Digital Advisory is a research and advisory firm. Nothing on our website, in our reports, dashboards, or in any consultation, constitutes personalized investment, financial, legal, or tax advice, and nothing should be construed as a recommendation, solicitation, or offer to buy, sell, or hold any financial instrument, security, or digital asset.

All research and commentary reflects our independent analysis at the time it is published and is provided for informational purposes only. Markets are inherently unpredictable, and past performance or historical patterns discussed in our research are not indicative of future results. You are solely responsible for evaluating the merits and risks of any decision you make, and we strongly encourage you to consult with a licensed financial advisor before making investment decisions.

8. Third-Party Data

Our research and dashboards incorporate data from third-party providers, including TradingView, CoinGecko, Investing.com, MetaTrader, Alpha Vantage, and Yahoo Finance. While we take reasonable steps to use reliable sources, we do not control and cannot guarantee the accuracy, completeness, or timeliness of third-party data, and we are not responsible for any errors or omissions in that data or for any decisions made in reliance on it.

9. Intellectual Property

All content available through the Services, including research reports, dashboard interfaces, methodology, graphics, logos, and the "Merit Digital Advisory" name and branding, is owned by Merit Digital Advisory or our licensors and is protected by copyright, trademark, and other intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Services for your internal business purposes. No other rights are granted, and all rights not expressly granted are reserved by Merit Digital Advisory.

10. Confidentiality

Research, dashboards, and any materials we provide that are marked confidential or that would reasonably be understood to be confidential (including pricing and the substance of consultations) are provided solely for your internal use and may not be disclosed to third parties without our prior written consent, except as required by law.

11. Term & Termination

These Terms remain in effect for as long as you use the Services. You may stop using the Services and, where applicable, cancel your subscription at any time in accordance with the cancellation terms of your plan or order form.

We may suspend or terminate your access to the Services, with or without notice, if we reasonably believe you have violated these Terms, engaged in fraudulent or unlawful activity, or if continued provision of the Services becomes impractical or unlawful. Upon termination, your right to access the Services ceases immediately, though provisions of these Terms that by their nature should survive termination (including Sections 9, 10, 12, 13, and 14) will continue to apply.

12. Disclaimers

The Services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or completely secure.

13. Limitation of Liability

To the fullest extent permitted by law, Merit Digital Advisory and its officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunity, arising out of or relating to your use of the Services, even if we have been advised of the possibility of such damages.

Our total aggregate liability arising out of or relating to these Terms or the Services will not exceed the amount you paid to Merit Digital Advisory in the twelve (12) months preceding the event giving rise to the claim.

14. Indemnification

You agree to indemnify and hold harmless Merit Digital Advisory and its officers, employees, and affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of laws principles. The courts of England and Wales will have exclusive jurisdiction over any claim arising out of or relating to these Terms, except where mandatory consumer protection law in your country of residence gives you the right to bring a claim in your local courts.

16. Dispute Resolution

We encourage you to contact us first to resolve any dispute informally. If a dispute cannot be resolved informally within thirty (30) days, either party may pursue any remedy available under applicable law, subject to any binding arbitration or forum provisions set out in an applicable Master Service Agreement or order form.

17. Changes to These Terms

We may revise these Terms from time to time. If we make material changes, we will update the "Last updated" date above and, where appropriate, provide additional notice to active clients. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

18. General Provisions

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any right or provision will not be considered a waiver of that right. You may not assign these Terms without our prior written consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets.
